Welcome to Memory Master (hereinafter referred
to as " we " , " software " or " service " )!
This User Agreement (hereinafter referred to as "
Agreement " or "this Agreement" ) is a legal agreement between
you and us regarding your downloading, installation and use of this software ( hereinafter
collectively referred to as "Use") and related services. Your
downloading, installation, use and other access to the software are subject to
your acceptance and compliance with the terms of this Agreement. If you do not
agree to this Agreement, please stop using this software immediately.
We especially remind users to carefully read all
the terms of this Agreement, especially the terms that exempt or limit our
liability , the terms that limit your rights , the applicable law and dispute
resolution terms. These terms should be applied to the greatest extent permitted
by Chinese law. The key liability exemption or limitation terms are marked in
bold.
If the user is under the age of 18, he/she must
read this Agreement in the presence of a guardian and may only use the products
and services we provide after obtaining the guardian's consent to the user's
use of the products and services we provide, payment of fees to us, and all the
terms of this Agreement.
1.1 This Agreement is an agreement between you and
the developer (hereinafter referred to as the "Developer") regarding your
downloading, installation, use of Memory Master , and obtaining related
services provided by Memory Master . Some of the services involved in this
Agreement may be provided by the Developer's affiliates or controlling parties.
Your knowledge and acceptance of such services shall constitute your agreement
that the rights and obligations of both parties shall be bound by this
Agreement.
1.2 This Agreement covers the agreements, rules and
other contents regarding Memory Master and related services that have been
published and will be published in the future by the developer . Once these
contents are officially released , they will be delivered to users through
appropriate means such as system notifications, and will become an integral
part of this Agreement, which you must comply with.
2.1 Please be careful to identify the source of
the installation program. You should download the Memory Master product from a
legal channel to a legally owned terminal device. At the same time, we remind
you:
(1) The Memory Master developer grants you a
personal, non-transferable and non-exclusive license to use the Memory Master
product and service. You may install and use the Memory Master product on your
terminal device for non-commercial purposes . The Memory Master developer also
reserves the right to revoke this authorization in any necessary circumstances.
However, unless specifically authorized, you should not and may not adapt,
copy, disseminate, vertically search, mirror or trade the Memory Master product
in any form.
(2) If you obtain the Memory Master product or
an installation program with the same name as the Memory Master product from a
third party that is not authorized by the Memory Master developer , the Memory
Master developer cannot guarantee that the product can be used normally, and the
Memory Master developer is not responsible for any losses caused thereby.
2.2 Once you open and access the Memory Master
product on your terminal device, you are deemed to be using the Memory Master
products and services. In order to fully realize the full functions of the
Memory Master products and services, you may need to connect your terminal
device to the Internet.
2.3 To better enhance user experience and
services, the developer will provide software updates or changes from time to
time (including but not limited to software modification, upgrades, function
enhancements, development of new services, software replacement, etc.). To
ensure the security of Memory Master and related services and improve user
services, after the software and related services are updated or part of the
service content is updated, the developer will, if possible, notify the user
through methods including but not limited to system prompts, announcements, and
in-site messages. The user has the right to choose to accept the updated
version or service. If the user does not accept, some functions will be
restricted or cannot be used anymore.
2.4 After a new version of Memory Master is
released, the old version of the software may not be available. The Memory
Master developer does not guarantee that the old version of the software will
continue to be available. Please check and download the latest version at any
time.
2.5 You understand and agree that in order to
provide effective services, Memory Master will use the processor and bandwidth
of your terminal device and other resources. Data traffic charges may be
incurred during the use of Memory Master . You need to inquire about the
relevant tariff information from the operator and bear the relevant fees.
3.1 When using Memory Master products and
services, you must comply with the laws of mainland China . You may not use the
products and services of Memory Master developers to violate relevant laws,
regulations, and policies , and you must comply with the rules and regulations
published or updated in Memory Master products. If you encounter any violation,
Memory Master developers reserve the right to recover the relevant account.
3.2 You may not use any plug-ins,
"hook-ups" or third-party tools not authorized or licensed by the
Memory Master developer to interfere with, disrupt, modify or otherwise affect
the normal operation of Memory Master products and services.
3.3 You may not use or conduct any behavior
against Memory Master products that endanger computer network security,
including but not limited to : using Memory Master related data without
permission or entering Memory Master related servers/accounts without
permission ; attempting to detect, scan, test the weaknesses of Memory Master product
systems or networks without permission or perform other behaviors that
undermine network security; attempting to interfere with or disrupt the normal
operation of Memory Master product systems or websites, intentionally spreading
malicious programs or viruses, and other behaviors that damage and interfere
with normal network information services; forging TCP/IP data packet names or
part of the names.
3.4 Memory Master developers are committed to
creating a civilized, rational, friendly and high-quality platform atmosphere.
While developing platform service functions, we will continue to strengthen the
corresponding information security management capabilities and fulfill our
social responsibilities. You may not use the products and services of Memory
Master developers to produce, copy, publish or disseminate the following
information:
(1) Opposing the basic principles established by
the Constitution;
(2) endangering national security, leaking state
secrets, subverting state power, or undermining national unity;
(3) Damaging the national honor and interests;
(4) Inciting ethnic hatred, ethnic
discrimination, and undermining ethnic unity;
(5) Undermining the state's religious policies
and promoting cults and superstitions;
(6) Spreading rumors, disrupting social order,
and undermining social stability;
(7) Spreading obscenity, pornography, gambling,
violence, murder, terror, or instigating crime;
(8) Insulting or slandering others, or
infringing upon the legitimate rights and interests of others;
(9) Inciting illegal assembly, association,
procession, demonstration, or gathering of crowds to disrupt social order;
(10) Activities carried out in the name of
illegal non-governmental organizations;
(11) Containing other content prohibited by laws
or administrative regulations.
(12) Publishing, transmitting, disseminating, or
storing content that infringes upon others’ reputation, portrait rights, intellectual
property rights, trade secrets, or other legitimate rights and interests;
(13) Publish information involving the privacy,
personal information or materials of others without their consent or
authorization;
(14) Publish, transmit, or disseminate
harassment, advertising, excessive marketing, spam, or other similar
information;
(15) Other information that violates laws,
regulations, policies, public order and good customs, social ethics, or
interferes with the normal operation of Memory Master , or infringes upon the
legitimate rights and interests of you, other users, or third parties.
3.5 If you violate the above terms, the Memory
Master developer will take management measures such as refusing to post,
deleting comments, short-term banning from speaking, or even permanently
closing the account, depending on the situation. Content suspected of being
illegal or criminal will be kept on file, and relevant circumstances and information
will be truthfully reported to relevant government departments.
3.6 The developer has set up a public complaint
and reporting platform. Users can file complaints and report all kinds of
illegal and irregular behaviors, illegal dissemination activities, illegal and
harmful information to the Memory Master team at shugechina202605@163.com in accordance with
the complaint and reporting system announced by the developer. We will promptly accept and handle
user complaints and reports to jointly create a clean and healthy cyberspace.
4.1 The developer of Memory Master is the
intellectual property rights holder of the Memory Master product. All
copyrights, trademarks, patents, trade secrets and other intellectual property
rights of Memory Master , as well as all information content related to Memory
Master ( including but not limited to software, technology, programs, web
pages, text, pictures, images, audio, video, charts, layout design, electronic
documents, etc.) belong to the developer. The copyright, patents and other
intellectual property rights of the software relied on by the developer when
providing this service belong to the developer. Without the permission of the
developer, no one may use (including but not limited to monitoring, copying,
disseminating, displaying, mirroring, uploading, downloading the content of Memory
Master and related services through any robot, spider or other program or
device) without authorization.
4.2 You shall ensure that the text, images,
audio, video and other information uploaded when using Memory Master products
and services do not infringe any third party intellectual property rights.
Otherwise, the Memory Master developer has the right to remove the infringing
information and shall not be held responsible for it. If the aforementioned
third party makes a claim, you shall bear the responsibility.
4. 3 Memory Master products and services may
involve third-party intellectual property rights. If the third party has any
requirements for your use of relevant intellectual property rights in Memory
Master products and services, the Memory Master developer will inform you of
the requirements in an appropriate form and you should comply with them.
4.4 Without the consent of the relevant rights
holders, you may not reverse engineer, reverse assemble, reverse compile, etc.
the relevant web pages, applications, software and other products involved in Memory
Master products and services; nor may you implement, use or transfer the above
intellectual property rights by yourself or authorize any third party to do so
for any commercial or non-commercial purpose.
4. 5 The intellectual property rights of the
content contained in Memory Master products and services are protected by law.
No one may use or create related derivative works in any form without the
written permission of the Memory Master developer , you or the relevant rights
holder.
5.1 Protecting your personal information is a
basic principle of Memory Master Developer . Memory Master Developer will
collect, use, store and share your personal information in accordance with this
Agreement and the " Memory Master Privacy Policy" published by Memory
Master Developer .
5.2 It is the joint responsibility of Memory
Master developers and you to maintain the security and normal use of the
software. Memory Master developers will carefully take necessary measures to
protect the security of your device information and data in accordance with
industry standards, but at the same time, you should understand and acknowledge
that Memory Master developers cannot provide you with complete guarantees in
this regard. While we work with you to maintain the security of your personal
information, you should also respect the legitimate rights and interests of
others and should not infringe on others in any way. For example, you should
not and shall not create, publish, use, or disseminate any malicious programs
used to steal other people's personal information or property.
5.3 You understand and agree that Memory Master ,
like most Internet software, may be affected by a variety of factors, including
but not limited to reasons of you and/or other users, network service quality,
social environment, etc.; it may also be invaded by various security issues
such as illegal use of information by others; other software you download and
install or other websites you visit may contain viruses, Trojans or other
malicious programs, threatening the information and data security of your
terminal equipment, etc. Therefore, you should strengthen your awareness of
information security and personal information protection, pay attention to
identifying the source of information, and pay attention to the protection of
personal information to avoid losses. Here, we especially remind you that under
no circumstances should you easily trust borrowing, password requests or any
other network information involving property and personal identity information.
In case of personal information provision and property operations, please
verify the identity of the other party first. Memory Master does not and cannot
verify the relevant subject that requests information from you, nor will it be
responsible for the losses caused thereby.
5.4 The Memory Master developers will use
various security technologies and procedures to establish a complete management
system to protect your personal information from unauthorized access, use or
disclosure.
5.5 Memory Master Developer will not transfer or
disclose your personal information to any unrelated third party unless:
(1) With your explicit consent or based on your
active choice; or
(2) Disclosure based on laws and regulations:
mandatory requirements of laws, legal procedures, litigation or government
authorities.
5.6 According to laws and regulations, sharing
and transferring of de-identified personal information, while ensuring that the
data recipient cannot restore and re-identify the subject of the personal
information, does not constitute external sharing, transfer or public
disclosure of personal information, and the storage and processing of such data
will not require additional notification to you and your consent.
Memory Master developers may use your personal
information in the following circumstances :
(1) Memory Master developers may cooperate with
third parties to provide you with relevant network services. In this case, Memory
Master developers will require the third party to assume the same
responsibility as Memory Master developers to protect your privacy;
(2) On the premise that the subject of personal
information cannot be identified after de-identification, the Memory Master
developer may analyze your entire database and make commercial use of your
database based on product improvement needs.

Policy.
6.1 You understand
and agree that the Memory Master products and services provided by Memory
Master developers are provided in accordance with the current status of what
can be achieved with existing technology and conditions. Memory Master
developers will do their best to provide you with services and ensure the
continuity and security of the services; however, Memory Master developers cannot
foresee and prevent technical and other risks at any time, including but not
limited to service interruptions, data loss and other losses and risks that may
be caused by force majeure, viruses, Trojans, hacker attacks, system
instability, network environment, third-party service defects, etc. Memory
Master developers are not responsible or liable to you or any third party for
your data loss caused by the above reasons. If such circumstances occur, Memory
Master developers will send notices to you who are affected as soon as possible
through web page announcements, system notifications, private messages, SMS
reminders or other reasonable methods.
6.2 You understand
and agree that the Memory Master developer has the right to modify, interrupt,
suspend or terminate the services within the Memory Master product without
prior notice to you for the needs of overall service operation , and shall not
be responsible or liable to you or any third party for any compensation. The
Memory Master developer will also notify you in advance if you are affected and
do its best to ensure the security and integrity of your personal data
information.
7.1 You understand and agree that Memory Master and
related services may be affected or interfered by a variety of factors, and the
developer does not guarantee (including but not limited to) :
(1) The developer is fully suitable for the
user's usage requirements;
(2) the Developer will be uninterrupted, timely,
secure, reliable or error-free; and any software, services or other materials
obtained by Users through the Developer will meet Users’ expectations;
(3) Any errors in the software will be
corrected.
7.2 You understand and agree that you may
encounter force majeure and other factors (force majeure refers to
objective events that cannot be foreseen, overcome or avoided) during the use
of Memory Master and related services, including but not limited to government
actions , natural disasters, network reasons, hacker attacks, wars or any
other similar events . In the event of force majeure, the developer will
try to repair it in time as soon as possible, but the user agrees that the
developer will not be responsible for any losses caused to the user due to
force majeure.
7.3 The developer obtains the right to deal with
illegal and unlawful content in accordance with the provisions of this
Agreement. This right does not constitute an obligation or commitment of the
developer, and the developer cannot guarantee timely discovery of illegal
activities or appropriate handling.
7.4 You read, understand and agree that: The
developer does not provide any express or implied warranties or conditions of
any kind regarding the services under this Agreement, including but not limited
to commercial merchantability, fitness for a particular purpose, etc. You must
bear the corresponding risks in your use of the software and related services
under this Agreement.
7.5 You read, understand and agree that this
Agreement is to ensure compliance with national laws and regulations, maintain
public order and good customs, and protect the legitimate rights and interests
of others. The developer will make every effort to make judgments in accordance
with relevant laws and regulations within its capabilities, but it does not
guarantee that the developer's judgment is completely consistent with that of
the judicial and administrative authorities. The user has understood and agreed
to bear the consequences arising from this.
8.1 If you violate national laws and regulations
or the provisions of this Agreement, or infringe on any rights of others, which
leads to or causes any third party to make any claims or requests to Memory
Master Developer , including but not limited to litigation costs, attorney
fees, travel expenses, settlement amounts, fines or damages specified in
effective legal documents, software usage fees, etc., and cause losses to Memory
Master Developer , you shall compensate Memory Master Developer for the losses
suffered as a result and eliminate the impact.
8.2 You understand and agree that Memory Master has
the right to impose penalties on any violation of relevant laws and regulations
or the provisions of this Agreement based on reasonable judgment, take appropriate
legal actions against any violation of laws and regulations, and preserve
relevant information and report to relevant departments in accordance with laws
and regulations. You shall bear the responsibilities arising therefrom.
8.3 If the Memory Master developer discovers or
receives reports or complaints from others that you have violated the
provisions of this Agreement, the Memory Master developer has the right to
delete or block the relevant content suspected of violating laws and
regulations or the provisions of this Agreement, and may impose penalties on
the violating account, including but not limited to warnings, restrictions or
prohibitions on the use of part or all functions, account bans or even
cancellation, depending on the severity of the behavior, and has the right to
announce the results of the handling.
9.1 If the user is a minor under the age of 18,
he/she should read this Agreement and use Memory Master and related services
under the supervision, guidance and consent of his/her guardian .
9.2 The developer attaches great importance to
the protection of personal information of minors. When minors fill in their
personal information, please strengthen their awareness of personal protection
and be cautious. Please use Memory Master and related services correctly under
the guidance of your guardian .
9.3 Minor users understand that if you violate
laws, regulations, or the terms of this Agreement, you and your guardian shall
bear all consequences resulting therefrom in accordance with the law.
9.4 Special tips for minors:
(1) When young people use this software and
related services, they should learn to use the Internet correctly within a
reasonable range under the supervision and guidance of their guardians, avoid
being addicted to the virtual cyberspace, and develop good Internet habits.
(2) Young users must abide by the National Youth
Internet Civility Convention:
Be good at online learning and avoid browsing
harmful information;
Be honest and friendly in your communication,
and do not insult or deceive others;
We should strengthen our awareness of
self-protection and not date netizens casually;
We must maintain network security and not
disrupt network order;
It should be beneficial to physical and mental
health, and not addicted to virtual time and space.
10.1 This Agreement may be modified due to
changes in national policies, products and performance environment. Memory
Master Developer has the right to change the terms of this Agreement when
necessary and publish the latest version of the terms of this Agreement on the
relevant pages of Memory Master Developer and Memory Master products for your
review. Memory Master Developer may also choose other appropriate methods to
notify you of the modified content, such as notifying you on the relevant
website, page or application. After the terms of this Agreement are changed, if
you do not accept the changed agreement, you should stop using Memory Master products
and services.
10.2 The conclusion, execution, interpretation
and dispute resolution of this Agreement shall be subject to the laws of the
People's Republic of China. If any provision of this Agreement is partially
invalid or unenforceable for any reason, such provisions shall be
re-interpreted as close to the original meaning of this Agreement as possible,
and the other provisions of this Agreement shall remain fully valid and
effective.
10.3 This Agreement is signed in Huangpu
District, Guangzhou . If you have any dispute with the Memory Master developer due
to the products and services under this Agreement , you may resolve it through
friendly negotiation with the Memory Master developer first ; if the
negotiation fails, both parties agree to submit the dispute to the People's
Court with jurisdiction over the place where this Agreement is signed.
10.4 To avoid ambiguity, it is hereby stated
that the titles of all clauses in this Agreement are for reading convenience
only and have no actual meaning in themselves and cannot be used as the basis
for interpreting the meaning of this Agreement.
